These Terms of Use govern your access to and use of ASCENTSO’s website, including its pages, features and digital facilities made available by ASCENTSO SDN. BHD.
By accessing or using this website, you agree to these Terms of Use. Please also review our Privacy Notice, Cookie Policy and, where relevant, Confidentiality & Non-Disclosure information.
This website is operated by ASCENTSO SDN. BHD. (“ASCENTSO”, “we”, “us” or “our”), a private limited company registered in Malaysia.
These Terms of Use apply to your access to and use of ASCENTSO’s public website and website-based facilities.
They do not replace any quotation, proposal, order, statement of work, service agreement, programme terms, subscription terms, licence terms or other agreement that may apply to a particular ASCENTSO product, service or engagement.
Where separate terms are expressly agreed for a particular transaction or engagement, those terms govern that transaction or engagement to the extent of any inconsistency with these Terms of Use.
ASCENTSO provides information through this website about our business, capabilities, solutions, products, services, programmes, insights and other activities.
We may add, remove, update or change website content as our business, technology, products and services evolve.
We take reasonable care in presenting information but do not represent that every item of website content will always be complete, current or suitable for every purpose.
Unless expressly stated otherwise, website content is provided for general information and business evaluation. It should not be treated as legal, financial, accounting or other regulated professional advice.
You must use this website lawfully and have the legal capacity required for any transaction or agreement you enter into through or in connection with it.
If you use the website or communicate with ASCENTSO on behalf of a company, organisation or other entity, you represent that you are authorised to do so where such authority is required.
We may request reasonable information to verify identity, authority, business details or transaction information before accepting an instruction, order or engagement.
The website may allow you to submit enquiries, provide business information, request further information, arrange discussions, express interest in ASCENTSO solutions or otherwise communicate with us.
Submitting an enquiry, completing a form, requesting a consultation or communicating with ASCENTSO does not by itself create a client relationship or require either party to proceed with an engagement.
An engagement may require further assessment, confirmation of scope, a quotation or proposal, acceptance of applicable terms, payment or other agreed steps before it becomes effective.
Information submitted through our website should be accurate to the best of your knowledge. You should not knowingly submit false, misleading, unlawful or unauthorised information.
ASCENTSO’s website may include AI-enabled features, including AI business roles, assistants or other automated and agentic interactions.
These features may assist with enquiries, information discovery, needs exploration, recommendations, administrative processes and other defined functions.
AI-generated responses may contain errors, omissions or interpretations that are not appropriate to every circumstance. An AI interaction does not constitute professional advice, contractual confirmation or a binding commitment by ASCENTSO unless expressly confirmed through an authorised process.
Certain matters may be referred to or require involvement from an ASCENTSO representative where human judgement, verification, approval, authorisation or clarification is appropriate.
You should not intentionally provide unlawful content, malicious instructions, credentials, unnecessary highly sensitive information or information you are not authorised to disclose through an AI-enabled interaction.
Certain ASCENTSO websites, platforms, programmes or services may provide account-based, authenticated or restricted access.
Where an account is provided, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account to the extent reasonably within your control.
You must not share restricted credentials without authorisation, attempt to access another person’s account or circumvent access controls.
We may suspend or restrict access where reasonably necessary to protect users, ASCENTSO, our systems or the integrity of a service.
Additional account, subscription, programme or platform terms may apply to particular services.
Where the website permits you to submit text, documents, images, business information, instructions or other materials, you retain any rights you lawfully hold in those materials.
You are responsible for ensuring that you have the right and authority to provide them to ASCENTSO.
You grant ASCENTSO permission to receive, store, process and use submitted materials to the extent reasonably necessary to respond to your request, operate the relevant website function, evaluate or perform an agreed engagement, maintain appropriate records, or otherwise fulfil the purpose for which the materials were provided.
Submission of materials does not transfer ownership of your intellectual property to ASCENTSO unless separately agreed in writing.
Personal data contained in submitted materials is handled in accordance with our Privacy Notice and applicable law.
Business discussions with ASCENTSO may involve information that is commercially sensitive or confidential.
Our approach to such information is described in our Confidentiality & Non-Disclosure information. Where a discussion or engagement requires specific contractual confidentiality obligations, the parties may enter into a separate non-disclosure agreement or include appropriate confidentiality provisions in the relevant agreement.
Simply browsing ASCENTSO’s website does not create a bespoke non-disclosure agreement between ASCENTSO and a website visitor.
Unless otherwise stated, website content and materials are owned by, licensed to or otherwise lawfully used by ASCENTSO.
This may include text, graphics, photographs, videos, designs, interfaces, software elements, documentation, product concepts, frameworks, methodologies, business materials, trademarks, logos and other intellectual property.
ASCENTSO names, product names, trademarks, branding and proprietary identifiers may not be used in a manner that falsely suggests ownership, endorsement, affiliation or authorisation.
You may view and use publicly available website content for legitimate informational and business-evaluation purposes.
Unless permitted by law or authorised by ASCENTSO, you must not reproduce, republish, sell, commercially exploit, substantially extract, modify or distribute ASCENTSO proprietary materials.
Nothing in these Terms transfers ownership of ASCENTSO intellectual property to you.
Access to this website does not grant any right or licence to obtain, reproduce, reverse engineer, extract, duplicate or commercially exploit ASCENTSO’s non-public methodologies, software, system architecture, configurations, prompts, workflows, frameworks, business models, technical documentation or other proprietary materials.
The ownership, licensing and permitted use of intellectual property created or supplied under a particular client engagement will be governed by the agreement applicable to that engagement.
You may use ASCENTSO’s website only for lawful purposes.
You must not use the website to engage in unlawful, fraudulent, deceptive, abusive or harmful activity; interfere with the website or connected systems; introduce malware or malicious code; gain or attempt to gain unauthorised access; circumvent technical, security, licensing or access controls; impersonate another person or organisation; or knowingly infringe the rights of ASCENTSO or another party.
You must not use automated tools to systematically scrape, harvest, copy or extract substantial website content or data without authorisation where such activity exceeds ordinary indexing, accessibility or legitimate browsing.
ASCENTSO may take reasonable technical or administrative measures to prevent misuse.
ASCENTSO websites or connected digital environments may enable certain products, programmes, courses or services to be ordered, purchased or paid for electronically.
The applicable description, price, currency, taxes or other charges, payment requirements and material transaction information will be those presented or agreed in connection with the particular transaction.
Availability of a payment method does not by itself constitute acceptance of an engagement where further scope confirmation, approval, documentation or other conditions are expressly required.
Electronic acceptance, confirmation, invoices, receipts and other transaction records may be provided electronically.
Nothing in these Terms limits rights or obligations that cannot lawfully be excluded under applicable consumer, electronic-commerce or other laws.
Payments may be made using payment methods made available by ASCENTSO from time to time, which may include third-party payment processors, card payments, electronic payment methods or bank transfer.
Where payment is processed by a third-party provider such as Stripe, that provider may process payment information in accordance with its own terms, security standards and privacy practices.
ASCENTSO does not control every aspect of an independent payment provider’s systems or services.
Where payment is made by bank transfer, the payer is responsible for using the payment instructions supplied for the relevant transaction and providing sufficient transaction information for payment to be identified where required.
Payment does not alter or replace any separate scope, delivery, cancellation, refund, subscription, programme or service terms applicable to the transaction.
Courses, workshops, training programmes or other learning activities offered through ASCENTSO Learning may be subject to additional enrolment, attendance, access, scheduling, cancellation, transfer, refund or programme-specific terms.
Where such terms are provided for a particular programme, they form part of the conditions applicable to that purchase or enrolment.
Payment for a programme does not remove requirements expressly stated for participation, eligibility, attendance, access or completion.
ASCENTSO may make reasonable changes to programme arrangements where necessary, subject to the applicable programme terms and any rights provided by law.
Information displayed on the website concerning ASCENTSO services, solutions or capabilities does not by itself constitute a complete offer or contract for a customised engagement.
Services including consultancy, strategy, technology implementation, website development, AI deployment, branding, creative work and other customised solutions may require scope definition and separate commercial documentation.
The applicable scope, deliverables, responsibilities, timetable, fees, payment schedule, intellectual-property arrangements, support arrangements and other engagement-specific matters will be governed by the relevant quotation, proposal, order, statement of work, service agreement or other agreed documentation.
Publicly displayed pricing or package information may be updated from time to time. The terms applicable to an actual engagement are those confirmed for that engagement.
Cancellation, refund, rescheduling, transfer or change rights may differ depending on the product, programme or service concerned.
Any specific policy or terms presented in connection with a transaction or engagement will apply to that transaction.
Nothing in these Terms removes any refund, cancellation or other right that must be provided under applicable law.
ASCENTSO’s website and digital services may interact with or link to services operated by third parties, including payment processors, communications services, analytics providers, social platforms, hosting or infrastructure providers and other digital services.
Third-party services may be subject to their own terms, privacy policies and operating practices.
ASCENTSO does not control the independent operation, availability, security or content of every third-party service.
A link, integration or reference to a third party does not necessarily mean that ASCENTSO endorses every product, statement or activity of that third party.
ASCENTSO takes reasonable measures to maintain the availability and security of our website and digital facilities.
We do not guarantee that the website will operate continuously, without interruption or without error.
Access may be interrupted or restricted for maintenance, upgrades, security measures, technical failures, third-party outages or circumstances outside our reasonable control.
We may modify, replace, suspend or discontinue website features where reasonably necessary.
ASCENTSO may publish examples, case studies, demonstrations, insights, scenarios or descriptions of possible applications and outcomes.
These materials should not be interpreted as a guarantee that another business, project, campaign, programme or implementation will achieve identical results.
Commercial and operational outcomes may depend on numerous factors, including the circumstances of the business, market conditions, implementation, customer behaviour, resources and decisions made by the parties involved.
Any specific performance commitment made by ASCENTSO must be expressly stated in the applicable agreement.
To the extent permitted by law, ASCENTSO provides its public website and general website information on an “as available” basis.
We do not warrant that every item of general website information will be error-free, complete or continuously current, or that the website will be uninterrupted or free from all technical issues.
Nothing in this section excludes warranties, guarantees or obligations that cannot lawfully be excluded.
Specific warranties or service commitments expressly provided under a separate ASCENTSO agreement remain governed by that agreement.
To the extent permitted by applicable law, ASCENTSO will not be liable for indirect, incidental, consequential or similar losses arising solely from use of, inability to use, or unreasonable reliance on general information provided through the public website.
ASCENTSO is not responsible for loss caused by unauthorised or unlawful use of the website by a user, or by circumstances outside ASCENTSO’s reasonable control, except to the extent liability cannot lawfully be excluded.
Liability arising from a separately contracted ASCENTSO product, programme or service will be governed by the terms applicable to that engagement.
Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.
You are responsible for losses, claims or consequences arising from your unlawful use of the website, deliberate infringement of another party’s rights, unauthorised access or material breach of these Terms, to the extent provided by applicable law.
Nothing in this section requires you to assume liability that cannot lawfully be imposed upon you.
ASCENTSO may suspend, restrict or block access to the website or particular digital facilities where reasonably necessary because of suspected unlawful activity, security threats, attempted unauthorised access, material misuse, breach of applicable terms or protection of ASCENTSO, our users or our systems.
Where appropriate and reasonably practicable, access may be restored once the relevant issue has been resolved.
Our handling of personal data collected through or in connection with ASCENTSO’s website is described in our Privacy Notice.
Our use of cookies and similar technologies is described in our Cookie Policy.
Where confidential commercial or business information is involved, our Confidentiality & Non-Disclosure information may also be relevant.
These documents should be read together where applicable.
ASCENTSO may update these Terms of Use from time to time to reflect changes to our website, digital facilities, business practices, technologies, transaction methods or applicable legal requirements.
The current version will be published on ASCENTSO’s website together with its latest update date.
Changes will apply from the date indicated on the updated Terms, subject to applicable law.
Terms governing an existing separately contracted engagement will not be changed merely by updating this website Terms of Use unless the applicable agreement provides otherwise.
These Terms of Use are governed by the laws of Malaysia.
Subject to any rights, remedies or procedures that cannot lawfully be excluded or restricted, disputes arising specifically from these Terms of Use or use of this website will be subject to the jurisdiction of the courts of Malaysia.
Nothing in these Terms removes any statutory right to seek redress through an applicable tribunal, authority or other mechanism where such right exists.
If you have questions about these Terms of Use or your use of this website, please Contact ASCENTSO.
